Role Overview

The Director of Finance - Integration Accounting is responsible for leading due diligence and post-acquisition finance/accounting strategies that align acquired employees with company policies and overall finance/accounting control environment. Develop and manage finance/accounting integration project plans with clear timelines and deliverables, collaborating with key stakeholders across HR, Finance, Sales, IT, and Operations. Assess capabilities of acquired team members and develop, in concert with HR, appropriate training/development programs. Coordinate assimilation of existing cash management efforts including overall Zeus cash management program. Coordinate and develop opening balance sheets for acquired entities as well as the development of net working capital or earnout statements, as necessary. Develop plans for and coordinate the setup of acquired entities into Zeus accounting system, including the adoption of appropriate policies and procedures by new employees. Coordination of shared service model adoption. 

Key Responsibilities

  • Supporting the due diligence projects for new acquisitions to understand accounting principles applied to target acquisitions.
  • Planning and executing on finance/accounting integration of acquired companies with the cross functional team.
  • Assess the accounting and financial reporting of company targets and plan for integration into existing systems and processes.
  • Preparing purchase price accounting in accordance with generally accepted accounting principles ASC 805 governing business combinations inclusive of opening balance sheets for acquired entities.
  • Working with Senior Management and Corporate Development on M&A activities, including integrating accounting processes and business combination accounting.
  • Acting as lead to third party valuation experts who prepare Purchase Price Allocation (PPA) reports for new acquisitions.
  • Calculating the contingent consideration of new acquisitions and monitoring earn-out targets.
  • Working directly with auditors on accounting inquiries and audit deliverables related to acquisition accounting and technical accounting matters.
  • Overseeing all acquisition related to general ledger accounting operations, ensuring accuracy, timeliness, and conformity with US GAAP.
  • Conducting technical accounting research and advising on complex issues related to acquisitions
  • Overseeing timely and accurate financial statement preparation and management reporting for acquired entities.
  • Collaborating closely with acquired companies on revenue recognition with a specific focus percentage-of-completion accounting for work-in-progress.
  • Developing reporting for acquired entities performance, synergy tracking, integration and accounting impacts for Senior Management, Audit Committee and Board of Director reporting.
  • Supporting annual audits, tax filings, and other accounting projects as required.
  • Supporting the team’s engagement in the organization’s transformation initiative and other strategic initiatives.
  • Automating current processes to improve efficiency.

Qualifications

  • Bachelor’s degree in accounting
  • CPA preferred
  • Minimum of 8+ years of experience in accounting or finance-related positions, with at least 3 years of management experience.
  • Experience in mergers and acquisition accounting and integration activities including coordination of valuation activities.
  • Experience in reviewing complex purchase agreements.
  • Knowledge of, and the ability to adhere to, GAAP with a specific focus on revenue recognition accounting standards including percentage-of-completion for construction contracts, lease accounting, and business combination accounting standards.
  • Demonstrated experience with accounting research and writing technical accounting memos.
  • Demonstrated ability to lead a fast-paced team with a strategic mindset towards modernizing processes while maintaining strong financial controls.
  • Track-record of improving systems and being part of a team that modernizes processes to drive a more efficient and scalable business model; ERP implementation experience is a plus.
  • Experience communicating and presenting the financial results to all levels of the Company including senior executives.
  • Experience with Oracle NetSuite preferred.
  • Strong analytical and problem-solving skills with attention to detail.
  • Ability to multi-task, navigate through ambiguity, and manage conflict and difficult conversations in a fast-paced environment.
