Role Overview
We are looking for a highly motivated and experienced Attorney to lead legal due diligence and post-acquisition integration for newly acquired entities. This role will focus on aligning acquired employees and operations with Zeus’s legal framework, managing licensing and compliance, and supporting contract transition activities. The Attorney will also coordinate with internal stakeholders and external counsel to ensure seamless legal integration and risk mitigation.
Key Responsibilities
- Lead and coordinate legal due diligence efforts on target companies, working closely with outside counsel and internal stakeholders across Corporate Development, Finance, and HR.
- Identify and assess legal risks and obligations, including litigation exposure, contractual liabilities, regulatory matters, and employee-related legal issues.
- Summarize diligence findings and participate in deal structuring discussions to mitigate risk and drive info.
- Develop and manage post-acquisition legal integration project plans with clear timelines, deliverables, and accountability.
- Align acquired employees and management teams with Zeus’s corporate legal policies, ethics programs, confidentiality standards, and other elements of the legal control environment.
- Serve as a legal advisor to functional teams (HR, IT, Operations, Finance, Sales) during onboarding, helping navigate legal and regulatory requirements.
- Oversee all legal entity licensing requirements and compliance registrations for newly acquired companies, ensuring timely completion and alignment with local, state, and federal regulations.
- Maintain accurate records of licensing and regulatory filings and support audits or inquiries related to integration efforts.
- Review and assess contracts from acquired businesses, with a focus on customer, vendor, and sales agreements.
- Provide recommendations and legal support to migrate acquired entities to Zeus’s standard contracting process and templates.
- Partner with Sales and Finance teams to ensure contract continuity and avoid disruption to existing business operations.
- Manage relationships with external legal counsel to support due diligence and other acquisition-related matters.
- Monitor legal spend related to M&A transactions and ensure cost-effective delivery of services.
- Bachelor’s Degree and J.D. degree from accredited institutions required.
Qualifications
- Minimum 6–8 years of legal experience, with a strong background in M&A, corporate law, and compliance.
- Prior experience leading legal diligence and integration activities in a corporate or private practice setting.
- Experience working in a private equity-backed or high-growth environment preferred.
- Strong understanding of contract law and licensing/compliance matters, preferably in a multi-state or heavily regulated environment.
- Excellent communication and project management skills, with the ability to manage multiple priorities and stakeholders.
